The mission
Hereditary cancer risk can remain hidden within a family for generations. Liora exists to help expand access to hereditary risk information for women who may not otherwise receive testing through ordinary healthcare pathways.

The Program
Liora Life Sciences, LLC is a Delaware limited liability company managed by Liora MGMT, LLC. It acquires, owns, holds, documents, values, and donates complete 36-Gene Female Hereditary Cancer Risk Assessment Panel Units to qualifying public charities.
Class A Units are available only to verified accredited investors under Rule 506(c) through the controlling offering documents.
Approximately $40,000 per Unit is applied to acquire Panel Units. The Company pays the Panel Supplier directly under the Managing Member’s direction.
No more than $10,000 per Unit supports permitted Program expenses. The Managing Member charges no management fee.
How it works
Liora acquires, owns, documents, values, and donates pooled Panel Units. Qualified charities and clinical counterparties control charitable and clinical deployment.
Member capital commitments fund the program.
Liora acquires and owns pooled Panel Units.
Panel Units are donated to qualifying public charities.
Donees and clinical channels may reach eligible women at no cost.

The Panel
The 36-Gene Female Hereditary Cancer Risk Assessment Panel Unit is a unitized commercial testing product designed to identify selected inherited germline variants associated with elevated risk for certain cancers affecting women.
Defined roles
Liora is not a laboratory, medical practice, genetic counselor, diagnostic service, clinical outreach provider, or patient-care provider.
Acquires, owns, holds, documents, values, and donates Panel Units as pooled Company property.
Receive donated Panel Units for related exempt use and deploy them through appropriate charitable programs.
Handle testing, reporting, authorization, consent, counseling, referrals, and clinical follow-up.

For CPAs & Professional Advisors
The Company expects to report each Member’s allocable share of the charitable contribution on Schedule K-1. Deductibility depends on each Member’s individual circumstances and is subject to applicable Code limitations, substantiation requirements, and potential IRS challenge.
The reporting package is expected to include relevant appraisal, acknowledgment, Form 8283, and Schedule K-1 materials, as applicable.
The anticipated reported amount per Panel will not exceed the lesser of $6,375 or the fair market value determined by the Qualified Appraiser.
Each Member relies on independent legal, tax, financial, and accounting advisors to determine whether and to what extent any deduction applies.
Any tax analysis prepared for the Company is subject to its own assumptions, qualifications, and reliance limitations. Nothing on this website is a tax opinion or may be relied upon by a prospective subscriber, Member, or advisor.
Accredited Investor Access
This offering is conducted under Rule 506(c) of Regulation D and is available only to verified accredited investors.
Under Rule 506(c), the Company is required to take reasonable steps to verify that every purchaser is an accredited investor. This first step is your attestation; independent verification follows.
Data Room Access
The controlled data room contains the Private Placement Memorandum, Operating Agreement, Subscription Agreement, and supporting materials.
Once identity and accredited-investor status are independently verified, credentialed access may be issued through the secure platform with appropriate permissions.
Access to Program materials does not make any Company analysis an opinion for, or advice to, the recipient. Each prospective subscriber must rely on independent professional advisors.
